1. Agreement to Terms

By accessing our website at adasouls.com or engaging with any services provided by AdaSouls Labs ("Company", "we", "us"), you agree to be bound by these Terms of Service. If you do not agree, do not use our Services.

2. Services

AdaSouls Labs provides AI consulting, development, and subscription-based retainer services. The specific scope of work, deliverables, and timelines are defined per engagement through a separate agreement or Statement of Work.

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time with reasonable notice.

3. Subscriptions and Payment

  • Subscription plans are billed on a recurring monthly or annual basis depending on the plan selected.
  • Payments are processed securely via Stripe. By providing payment information, you authorize us to charge the applicable fees.
  • All fees are non-refundable unless otherwise specified in a separate agreement or required by applicable law.
  • We reserve the right to change pricing with at least 30 days' notice. Continued use of the Services after a price change constitutes acceptance of the new pricing.

4. Cancellation

You may cancel your subscription at any time. Cancellations take effect at the end of the current billing period — you will retain access through the period you've paid for. No partial refunds are issued for unused portions of a billing cycle.

5. Intellectual Property

Unless otherwise agreed in writing, all custom work, code, and deliverables produced by AdaSouls Labs for a client are transferred to the client upon full payment. AdaSouls Labs retains the right to use general methodologies, frameworks, and non-client-specific knowledge gained during engagements.

All website content, branding, and materials owned by AdaSouls Labs remain our exclusive property and may not be reproduced without written permission.

6. Client Responsibilities

To receive effective service, you agree to:

  • Provide timely access to systems, data, and personnel as reasonably required
  • Review and provide feedback on deliverables within agreed timeframes
  • Ensure you have the legal right to share any data or materials provided to us
  • Use our Services only for lawful purposes

7. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during an engagement. This obligation survives termination of the Services. We will not disclose client information to third parties except as required to deliver the Services or as required by law.

8. Limitation of Liability

To the fullest extent permitted by law, AdaSouls Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or related to your use of the Services.

Our total liability for any claim arising out of or relating to these Terms or the Services shall not exceed the total fees paid by you in the three months preceding the claim.

9. Disclaimer of Warranties

Our Services are provided "as is" without warranties of any kind, express or implied. We do not guarantee that our Services will be error-free, uninterrupted, or that AI-generated outputs will be accurate, complete, or suitable for any particular purpose. You assume full responsibility for how you use any deliverables.

10. Termination

Either party may terminate an engagement with 30 days' written notice. We reserve the right to terminate immediately in the event of a material breach of these Terms, non-payment, or use of our Services for unlawful purposes.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which AdaSouls Labs is registered, without regard to its conflict of law provisions. Any disputes shall be resolved through good-faith negotiation, and if unresolved, through binding arbitration.

12. Changes to Terms

We may update these Terms from time to time. Continued use of our Services after changes are posted constitutes your acceptance of the revised Terms. We will make reasonable efforts to notify you of material changes.
